These Terms and Conditions ("Agreement") govern all engagements between BrandingMonks, a subdivision of Cozant Systems Pvt. Ltd., registered in Cochin, Kerala, India ("the Agency"), and any client ("the Client") who engages the Agency for brand, digital, creative, or technology services. By commissioning work from BrandingMonks, the Client agrees to be bound by this Agreement in full.

1. General Terms of Service

BrandingMonks provides brand strategy, brand identity, web design and development, UI/UX design, motion graphics, CGI and 3D, creative production, product packaging, pitch decks, GTM assets, IT consulting, CRM implementation, and related services.

All engagements commence upon receipt of a signed project brief or written confirmation of scope, and the payment of the initial deposit as outlined in Section 3. The Agency reserves the right to decline any project at its sole discretion.

These terms apply to all projects, retainers, and ongoing service arrangements unless a separate written contract is executed between both parties, in which case the separate contract shall take precedence.

2. Scope of Work & Deliverables

The scope of work for each project shall be defined in the project brief, proposal, or statement of work agreed upon by both parties prior to commencement. Any work requested beyond the agreed scope will be treated as a new engagement and quoted separately.

The Agency will make reasonable efforts to meet agreed timelines. Delays caused by the Client — including late feedback, unavailability, or failure to provide required materials — will not be held against the Agency, and may result in revised timelines or additional charges.

Deliverables are provided in standard file formats as agreed in the project scope. Source files may be provided at the Agency's discretion or upon specific written agreement.

3. Revision Policy

For all creative projects — including but not limited to brand identity, web design, motion graphics, CGI, packaging, and visual production — a maximum of three (3) revision rounds are included as standard within the agreed project fee.

A revision round is defined as a consolidated set of feedback submitted in a single communication. Feedback submitted in multiple separate communications after initial review may be counted as separate revision rounds.

Revisions requested beyond the three included rounds will be scoped and charged separately at the Agency's standard hourly or project rate.

For non-creative services — including brand strategy, IT consulting, CRM implementation, pitch decks (strategy component), and competitor research — revision terms are agreed upon on a per-project basis and will be specified in the project brief or proposal.

4. Payment Terms

All projects require a 50% deposit prior to commencement of work. The remaining 50% is due upon completion and prior to final file delivery.

Invoices are issued in the currency agreed upon at the start of the engagement. Payment is due within seven (7) business days of the invoice date unless otherwise agreed in writing.

The Agency reserves the right to pause or suspend work on any project where payment is overdue. Final deliverables, source files, and IP ownership transfer will not be released until all outstanding dues are settled in full.

5. Refund & Cancellation Policy

The initial deposit (50% of the agreed project fee) is non-refundable under any circumstances. This covers the Agency's time invested in discovery, strategy, briefing, resource allocation, and project setup.

Any payments made for a phase of work that has commenced are non-refundable. A phase is considered commenced once the Agency has begun active work — including research, design exploration, development, or production — on that phase.

Cancellation of a project by the Client requires a minimum of 14 days written notice. For short-term projects with a delivery timeline of less than 14 days, or where a specific cancellation period has been explicitly agreed in writing, those terms shall apply.

Upon cancellation, the Client shall be invoiced for all work completed up to the date of cancellation. Any amounts paid in excess of work completed will not be refunded. Work produced up to the point of cancellation remains the property of the Agency until all outstanding dues are settled.

6. Intellectual Property & Ownership

All creative work, designs, code, concepts, and deliverables produced by BrandingMonks remain the intellectual property of Cozant Systems Pvt. Ltd. until full payment has been received.

Upon receipt of full and final payment, the Client receives a licence to use the agreed deliverables for their intended commercial purpose. Full ownership and transfer of IP is granted only where explicitly agreed in writing and where full payment has been made.

The Agency retains the right to use completed work in its portfolio, case studies, marketing materials, and presentations, unless the Client requests otherwise in writing prior to project commencement.

Any third-party assets incorporated into deliverables — including stock imagery, licensed typefaces, or software — remain subject to their respective licence terms. The Agency will inform the Client of any such assets and their applicable restrictions.

7. Non-Disclosure & Confidentiality

The Agency treats all client information — including business strategy, financial data, product plans, proprietary processes, and project briefs — as strictly confidential.

The Agency will not disclose, share, or make available any confidential client information to third parties without the prior written consent of the Client, except where required by law or regulation.

This confidentiality obligation applies to all team members, contractors, and collaborators engaged by the Agency in the delivery of the project.

The Client similarly agrees to treat any proprietary methodologies, processes, pricing structures, or internal materials shared by the Agency as confidential and not to disclose them to third parties.

8. Limitation of Liability

The Agency's total liability to the Client for any claim arising out of or related to this Agreement shall not exceed the total fees paid by the Client for the specific project to which the claim relates.

The Agency shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of business, or loss of data, arising from the use of or inability to use the deliverables.

The Agency makes no guarantees regarding specific business outcomes — including sales, conversions, or market performance — resulting from the work delivered.

9. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India, and subject to the exclusive jurisdiction of the courts of Cochin, Kerala, India.

In the event of any dispute arising from or in connection with this Agreement, both parties agree to first attempt resolution through good-faith negotiation. If resolution cannot be reached within 30 days, the matter shall be referred to the appropriate courts of Cochin, Kerala.
